THE HISTORIC MOTORCYCLE CLUB – MALTA: NOVEMBER 1989

1. TITLE
The Name of the club shall be, “The Historic Motorcycle Club”.

2. OBJECTIVES
The principal objectives of the club shall be as follows:
• To further interest in Historic Motorcycles and Motorcycling.
• To preserve Historic Motorcycles in Malta.
• To organise meetings, lectures, shows, etc, for the benefit of club members.
• To safeguard the interests of members with regard to legislation which may have an adverse effect on historic motorcycles.

3. COMPOSITION
The club shall be composed of ordinary paid up members who shall vote a committee from among themselves at the AGM. Each paid up member shall have one vote.

4. OFFICIALS
The officials of the club shall be the following: President - Vice President - Chairman - Secretary - Treasurer- Member of the committee.

5. MEMBERSHIP
Membership of the club shall be open to any person with an interest in Historic Motorcycles, who pays his subscription fee and agrees to abide by the statute and rules of the club, and is accepted by the committee.

6. FEES AND SUBSCRIPTIONS
Membership fees and subscriptions are decided by majority vote at the AGM. These are to be paid annually in advance.

Amendment Jan 92.
An application fee over and above the annual membership fee shall be charged to members on first joining the club. The amount of this fee shall also be decided by a general meeting.

Joining fee for local members shall be Lm5.00 (€11.65) + membership.

Joining fee for overseas members shall be Lm4.00 (€9.32) + membership.

Should a person’s membership lapse beyond the 1st day of March he/she shall no longer be considered as a member and should this person wish to rejoin after that date he/she will be liable to payment of the application fee as well as vetting and acceptance by the committee.

7. COMMITTEE
The committee shall be made up of a number of members as decided by the AGM. Members wishing to stand on committee shall announce their desire to do so to the secretary prior to the meeting. A person may only stand on committee if he has been a paid up member of the committee for at least 12 months. A member of the HMC committee may not also be a member of the committee of any other club or association, which may have conflicting or rival aims. The person standing for a post on the committee must agree to abide by all majority decisions taken by the committee.

The committee shall have the authority to co-opt any non-voting member as it may find it necessary.

8. PRESIDENT
The post of President of the club shall be honorary. The President shall be any local resident accepted by a General Meeting majority vote. He does not necessarily have to be a paid up member of the club.

9. CHAIRMAN
The chairman shall chair meetings of the committee and general meetings. In his absence the committee may choose a temporary chairman from amongst themselves. The chairman may also be a Vice President of the club, and may also carry out other duties on the committee.

10. SECRETARY
The secretary shall be responsible for fixing dates for committee and general meetings after consultation with the chairman. He shall liaise with the committee at all times and keep minutes of all meetings. He may also carry out other duties on the committee.

11. TREASURER
The treasurer shall keep accounts on behalf of the club. He shall be in a position to give the committee a resume of the club’s financial position at each committee meeting and shall produce a balance sheet and state¬ment at the end of each club year. This shall be presented at the A.G.M. He may also carry out other duties on the committee.

12. GENERAL MEETINGS
The General Meeting is the supreme authority of the club, and will be held at least once a year in January, when a new committee will be voted to replace the outgoing one. Members wishing to stand for reelection may do so. Extraordinary General Meetings may be called as follows:

a) By a simple majority vote of committee members.
b) By a request in writing signed by at least 20% of the membership or 10 members, whichever is the least.

13. CALLING OF GENERAL MEETINGS
Announcement of general meetings has to be in writing at least 14 days (Amended AGM 2000) prior to the date set for the meeting. The notice has also to indicate the reasons for the meeting and any pro¬posals to be discussed at such meeting.

Furthermore, amendments to the statute have to be made in writing to the Secretary 14 days prior to the meeting and should include the full text of the proposed statute amendment.

14. VOTING
At all levels of meetings, voting on normal matters pertaining to the running of the club shall be by simple majority vote. The statute however may only be amended at a general meeting by a vote of 2/3 majority of members present.

Amendment Jan 91
Only members paid up for a minimum of 12 months may vote at a general meeting.

15. VOTING IN COMMITTEE
All members of the committee shall have one vote. Voting shall be as in Para. 14, however amendments to the statute may not be made by the committee, but only by a general meeting.

16. QUORUM
For all committee meetings a quorum shall be considered as 50% of the committee. For all General meetings a quorum shall be considered as 20% of the paid up membership.

17. TERMINATION OF MEMBERSHIP
A member shall only be excluded from the club by a decision of a general meeting.

18. FUNDS
The club will use funds for the purpose of mailing circulars and information to it’s members and for the purchase of equipment or any other use at the discretion of the committee useful for the better functioning of the club and its activities. (Amendment April 03)

19. DISSOLUTION OF THE CLUB
The club may only be dissolved by a 2/3-majority decision of a General Meeting called for such a purpose. The general meeting will decide the appropriation of club funds and equipment.

20. MOTORCYCLE ELLIGIBILITY (Jan’92 AGM addition)
Motorcycles eligible to participate in all club activities are all those manufactured prior to the first day of January 1976, excluding all choppers and hybrids. (Amendment April 03)

The committee may at it’s own discretion allow certain hybrids if it is satisfied that they are built within the spirit of the club.



This statute was written and approved by the first General Meeting of the Historic Motorcycle Club, Malta on Thursday the 23rd November 1989. Additions and alterations to this statute were all approved and passed at AGMs as noted.
